Background

George Kelly is a partner at our Calgary Office. Mr. Kelly was admitted to the Ontario Bar in 1977 and the Alberta Bar in 1995.

He graduated from University of Toronto Law School with honours in 1975. Prior thereto he received a Bachelor of Science from St. Michael’s College, University of Toronto in 1972.

Areas of Practice

  • Mr. Kelly is a senior securities lawyer practicing in the mergers and acquisitions and corporate finance areas. His experience includes public and private acquisitions, divestitures, take-over bids, corporate reorganizations, going private transactions, corporate finance, initial public offerings and advice to independent committees of directors.

Professional Experience

  • George has a wide variety of experience in many aspects of securities, corporate and commercial law including representation:
    • On behalf of corporations and underwriters in respect of equity and debt financings by public offering and private placement;
    • On behalf of corporations and investment bankers in respect of contested take-over bids and other merger and acquisition activity;
    • On behalf of independent committees of directors in respect of various corporate transactions;
    • On behalf of corporations in respect of asset and share purchases and sales; negotiation and drafting of shareholder agreements and other commercial contracts; and
    • On behalf of corporations in respect of equipment leasing financings involving aircraft, railway cars and locomotives, ferries and other equipment.
