Background

Linda is a partner in our Toronto office and is Chair of Borden Ladner Gervais LLP National Electricity Markets Group. Linda was called to the Ontario Bar in 1976 and has a B.A. and LL.B. from the University of Toronto.

Areas of Practice

  • Linda Bertoldi has been a corporate lawyer through her career and has been involved in corporate and securities transactions, financings and mergers and acquisitions. Linda has acted for developers of generation projects since 1987 and has been intensively involved in all aspects of Ontario electricity restructuring since the enactment of the Energy Competition Act in 1998.
  • Linda was named as one of the top 500 lawyers in Canada by Lexpert Magazine in 2002 and 2003 because of her expertise in the energy field.

Professional Experience

  • Advises major electricity consumers in Ontario on their energy needs including new regulatory requirements, requirements under the Market Rules relating to market participation and energy procurement strategies;
  • Advised clients since 1987 concerning all aspects of electric power project development for natural gas and wood fired cogeneration facilities and hydro-electric facilities including structuring transactions, project finance, contract design and completion, regulatory issues, power purchase and energy sales agreements, construction contracts, operations and maintenance agreements;
  • Advised on generation development projects with carriage of negotiations relating to contract design, risk assessment and allocation, and completion of construction and term financing, involving multi-million dollar budgets and multi-year time frames and required an integrated team approach of legal, engineering, environmental, accounting and insurance and surety professionals to bring the project to a successful completion and commencement of operations;
  • Provides ongoing advice during the operations phase of electricity projects on areas such as procurement, operations, maintenance and finance;
  • Advises equity investors, lenders, engineers and general contractors concerning project issues;
  • Advises numerous Ontario municipalities and municipal electric utilities on issues relating to electricity market restructuring, mergers, divestitures, governance and ongoing corporate structures;
  • Involved in mergers and acquisitions, joint ventures, limited partnerships in non-energy related transactions including advice to major pension funds on equity investments;
  • Involved in debt financings, syndications and secured transactions including structuring securitization vehicle for major mutual fund manager, development of financing structure for energy savings and retrofit programs;
  • Negotiates and drafts shareholder, partnership and joint venture agreements and agreements related to closely-held companies;
  • Provides day-to-day advice to clients on corporate commercial law issues including contracts, banking, financing, re-organizations, joint ventures, confidentiality agreements and trade practices.

Professional and Community Activities

  • Speaker at numerous conferences and client presentations on corporate and energy-related topics including power project financing and secured transactions; advising private corporations on mergers and acquisitions;
  • Involved in preparation and editing of BLG's Energy Markets Bulletin;
  • Member of the Board of Directors of the Independent Power Producers Society of Ontario ( IPPSO ) and NUG Contract Advisory Committee;
  • Member of the Board of Directors of the Alzheimer Society of Toronto;
  • Former member of the executive of the Business Law Section of the Canadian Bar Association, Ontario and member of CBAO Continuing Legal Education Committee;
  • Former member of the Board of Directors of the Rehabilitation Institute of Toronto, Transition House and Silent Voice.
