Background

Ross D. Freeman is a partner in our Calgary office and is head of the tax department in that office. Mr. Freeman was admitted to the Alberta Bar in 1979, having obtained his LL.B. from the University of Toronto in 1978 and a B.A. (Economics) from Ottawa University in 1975.

Areas of Practice

• Mr. Freeman practices exclusively in the tax area, with a particular emphasis on corporate, mergers and acquisitions, international and resource tax.
• Mr. Freeman also handles tax disputes with revenue authorities including tax litigation.

Professional Experience

• The practice experience of Mr. Freeman includes virtually all areas of taxation work including:
  • Tax advice on the structuring of corporate/commercial transactions including acquisitions, divestitures, mergers, financings and reorganizations ranging from junior public and private companies to multi-national oil and gas pipeline, manufacturing, technology and service companies
  • Making representations to federal and provincial governmental authorities with respect to the drafting of and interpretation of fiscal legislation
  • Acting as counsel in tax litigation in respect of matters before the Tax Court of Canada, the Federal Court of Canada, the Court of Queen's Bench of Alberta and the Alberta Court of Appeal
  • Drafting tax commentary for public and private disclosure documents including prospectuses, offering memoranda and circulars for businesses in real estate, film, oil and gas, recreational development, technology, manufacturing and numerous other industries
  • International tax planning involving countries throughout the world including the United States, Europe, Japan, the Caribbean and Hong Kong
  • Resource industry tax planning involving such matters as flow through shares, resource pool transfers and royalty trusts
