Background
Mr. Roberts is a partner at our Calgary office. He was admitted to the Alberta
bar in 1978 after graduating with an LL.B. from the University of Alberta in
1977. Prior to that, Mr. Roberts majored in Finance and received a Bachelor
of Commerce from the University of Calgary in 1974.
Areas of Practice
- Mr. Roberts began his career as a general commercial lawyer and as a result
of acting for a number of public companies has become a public company lawyer
with extensive experience in Securities, Mergers and Acquisitions.
- Most of his experience has been in oil and gas exploration and oil and gas
service companies.
Professional Experience
- Mr. Roberts practices in the Corporate/Securities areas with a broad range
of experience including:
- Acting for various corporations, having a wide range of activities including
oil and gas well drilling and other services both nationally and internationally,
oil and gas exploration and development, diversified trucking, environmental
waste and service and supply;
- Involvement in various financing arrangements such as prospectus type
financings, bank loan agreements (and security instruments), private placements
of special warrant and share capital (including a number of flow-through
share issuances);
- Acting on major asset purchase sale transactions both nationally and
internationally as well as advising companies on general corporate legal
matters on a day-to-day basis such as matters of employment agreements,
stock option plans and public company annual meetings;
- Experience in mergers and acquisitions of public companies including
numerous take over bids (both hostile and friendly), amalgamations and
plans of arrangement;
- Familiar with corporate governance issues as a result of being a director
of an oil and gas service company whose shares trade on both The Toronto
Stock Exchange and the New York Stock Exchange and acting as secretary
and director of oil and gas exploration companies.
