Dieter Gericke joined Homburger as an associate in 2000 and
has been a partner there since 2004. He studied law at the
University of Zurich where he graduated (
summa cum laude
)
with both his bachelor’s degree and doctorate. He graduated
from Harvard Law School with an LLM in 1999.
Mr Gericke is active in mergers and acquisitions (including
public takeovers and defence), corporate law and governance,
capital markets (including initial public offerings), private equity
and finance. He is an authorised issuers’ representative at the
SIX Swiss Exchange.
Mr Gericke has advised on numerous assignments, including
Nestlé’s sale of Alcon to Novartis, SCOR’s unsolicited takeover
of Converium, ESBATech and its shareholders’ sale to Alcon,
Gilde Buyout Partners’ acquisition of Spandex and Gategroup’s
public listing. He regularly assists the management and boards
of both public and private companies in challenging situations,
such as shareholder activism and litigation, proxy disputes,
regulatory investigations, financial distress and directors’
and officers’ liability.
Mr Gericke has spoken on M&A and securities law panels
of the International Bar Association, where he is a member
of the Corporate and M&A Committee and Securities Law
Committee (vice chair, M&A Sub-committee). He has chaired
or been a speaker at various conferences. His recent speaking
topics have included tactics and timing in mergers and
acquisitions, takeover laws, joint ventures,
ad hoc
publicity, preference rights and authorised capital.
He is the author of numerous publications and provides
legal opinions in his areas of practice.
