Enrico Giordano heads the capital markets department at
Chiomenti Studio Legale and is professor of securities law at
the University of Modena. Mr Giordano graduated in law from
the University of Rome in 1989. In 1991 he was a visiting foreign
assistant at Linacre College, Oxford and he was admitted to the
Rome Bar the following year.
He represents Italian and international issuers and
investment banks in a wide variety of public and private finance
transactions. He has worked on major privatisation transactions
and has significant experience in the areas of initial public
offerings, other public and private equity and equity-hybrid
securities offerings and debt offerings. He also advises Italian
and international clients with respect to corporate and securities
law matters, debt, tender offers, exchange offers and other
restructuring transactions involving listed companies.

include representing Mediaset in the
450 million merger with
DMT; BancaIntesa in its
5 billion follow-on equity offering;
Monte dei Paschi di Siena in its
2.5 billion follow-on equity
offering; Banca UBI in its
1 billion follow-on equity offering;
Enel Green Power in its
4 billion initial public offering; Enel in
its pan-European
3 billion retail public offering of fixed and
floating-rate bonds; Lottomatica in its
350 million follow-on
equity offering and its
750 million offering of Eurobonds;
JPMorgan and Citigroup in the
3 billion offering of Yankee
bonds by Enel Finance International, which was guaranteed
by Enel; Deutsche Bank and JPMorgan in Enel’s
25 billion
global medium-term note programme; Finmeccanica in the
905 million offering of its Yankee bonds; Enel in its
8 billion
follow-on equity offering; UBI Banca in its
1.035 billion
offering of convertible bonds and warrants; Mediobanca in
the
3 billion follow-on equity offering of UniCredit and
related offering offerings; and Finmeccanica in the
3.4
billion acquisition of DRS Technologies.
