Mr Stephen E Ballew

Steven Ballew’s practice focuses on corporate finance projects, including equity and debt investments in or by the firm’s clients. He advises companies in various industry sectors, including cable television, cellular telephony and other telecommunications devices, financial and consulting services and product distribution, and on a wide range of transactions, including securitized debt offerings, public and private offerings by European companies in the United States, acquisitions of American and European companies by American, European, and Asian corporations, and international joint ventures. His experience includes the restructuring of the assets and securities of insolvent entities.

Steven also has significant experience with financial service products, representing both financial institutions and entities dealing with them. His experience includes bank guarantees and other surety instruments, various swap agreements, co-branded credit card arrangements and outsourcing and other operational agreements. He advises on the impact of the U.S. Patriot Act on the flow of funds among depository institutions.

Steven was the Managing Partner of the firm's office in Warsaw, Poland from 1992 to 1998. In January 2001, he became the Resident American Partner in the Berlin, Germany office and in March 2004 moved to the firm's office in Munich. Steven has written professional articles on corporate topics and on investments in Poland.

Representative Experience

  • Advised a large, privately-held Polish media company with regard to debt financing from a multilateral lender and the subsequent sale by the company's shareholders of their interests to a venture capital firm.
  • Represented a Polish distribution company in its initial public offering in the United States.
  • Assisted in the establishment of a German hedge fund.
  • Advised in the restructuring of assets and liabilities of insolvent financial institiutions, including replacement of a Eurobond in default.
