Tommaso Bernasconi focuses on banking, finance, debt secondary market trading and structured finance issues. He regularly advises multinationals, investment banks and global financial institutions in connection with acquisitions, financing of acquisitions, tender offer financing, real estate financing, restructuring and structured finance transactions in the most relevant economic sectors such as, inter alia, energy, industrial and banking. He has extensive experience in finance transaction, including innovative structures, as well as in trading of debt instruments in secondary markets. Tommaso Bernasconi has also developed important skills in pre-insolvency restructuring agreements, composition agreements (“concordati preventivi”) and restructuring transactions in general.

A recent reform introduced a non-possessory floating pledge to the Italian legal framework. Under the reform, the perfection of such security can take place without the delivery of a pledged asset to the secured creditor, thus introducing an important exception to the general legal framework. Similar to the floating charge structure, the absence of a dispossession requirement enables entrepreneurs to retain the availability of collateral which can be used in the course of the productive cycle.
