Following "The 'New' Limited Liability Company", which reported on the new Limited Liability Company Law, this update focuses on amendments to the rules on corporations. The amendments are part of a larger revision of Swiss company law and will come into force on January 1 2008.
The amendments are intended to adapt the Swiss corporation to reflect current business needs and afford greater flexibility in relation to the organization and incorporation of such companies. The key amendments are as follows:
These amendments are the first step in an initiative to revamp Swiss corporate law to accommodate the needs of modern businesses and to take account of issues that have emerged over the past decades. Further revisions and amendments are underway that will improve corporate governance and modernize corporate decision-making (eg, through the use of electronic tools in the context of the shareholders' meeting). To keep up with these new developments, Swiss corporations would be well advised to monitor the changes closely, review and assess their own positions and adapt accordingly in order to ensure compliance with any new legislation.
